Background<\/strong> <\/p>\n\n\n\n

These Terms of Sale govern the sale of goods (“Goods”) by EV4 LLC (“EV4,” “we,” “us,” or “our”) through https:\/\/dsdevices.com\/us<\/strong><\/a> (the “Site”) to business customers only. <\/p>\n\n\n\n

These Terms of Sale also address certain sale-related matters relating to software, firmware, applications, documentation, configuration tools, and related services supplied with or made available for use with the Goods, including the DSD Selector App<\/strong>. <\/p>\n\n\n\n

By placing an order through the Site, you agree to be bound by these Terms of Sale. <\/p>\n\n\n\n

These Terms of Sale and all contracts formed under them shall be governed by the English language. <\/p>\n\n\n\n

Use of the Site and the DSD Selector App is also governed by our Website Terms of Use, Privacy Policy, Cookie Policy, and any applicable software or app terms made available by EV4 LLC. <\/p>\n\n\n\n

1. Definitions <\/p>\n\n\n\n

“Associated Software” means any software, firmware, applications, tools, downloads, documentation, configuration utilities, diagnostic tools, or other software-related materials supplied with, pre-installed on, or made available for use with the Goods, including the DSD Selector App. <\/p>\n\n\n\n

“CMS” means a content management system, digital signage software platform, application, service, or provider used with DSDevices\u00ae hardware. <\/p>\n\n\n\n

“Contract” means a contract for the purchase and sale of Goods. <\/p>\n\n\n\n

“Customer” means the business entity purchasing Goods from EV4 LLC. <\/p>\n\n\n\n

“DSD Selector App” means the DSDevices\u00ae software application, tool, or interface designed to assist users with CMS selection, app installation, device setup, provisioning, configuration, diagnostics, support, and related functionality for DSDevices\u00ae hardware. <\/p>\n\n\n\n

“Goods” means the hardware products sold by EV4 LLC through the Site. References to Goods may include Associated Software only where the context requires. Associated Software is licensed or made available for use and is not sold. <\/p>\n\n\n\n

“Order” means a customer’s order for Goods. <\/p>\n\n\n\n

“Order Confirmation” means EV4 LLC’s acceptance of an Order. <\/p>\n\n\n\n

“Order Number” means the reference number assigned to an Order. <\/p>\n\n\n\n

“Third-Party CMS Provider” means an independent third-party provider of a CMS, application, platform, subscription, service, or related software made available, referenced, linked to, selectable, or accessible through the Site, the Goods, or the DSD Selector App. <\/p>\n\n\n\n

2. Information About Us <\/p>\n\n\n\n

These Terms are issued by: <\/p>\n\n\n\n

EV4 LLC conducts business in the United States under the DSDevices\u00ae brand. <\/p>\n\n\n\n

DSDevices\u00ae is a registered trademark of EV4 Limited and is used by EV4 LLC under license and authorization. <\/p>\n\n\n\n

3. Access to and Use of Our Site <\/p>\n\n\n\n

Access to the Site is provided on an “as-is” and “as available” basis. <\/p>\n\n\n\n

EV4 LLC may modify, suspend, or discontinue any part of the Site at any time without notice. <\/p>\n\n\n\n

Use of the Site is also subject to our Website Terms of Use. <\/p>\n\n\n\n

Use of the DSD Selector App is subject to our Website Terms of Use, Privacy Policy, Cookie Policy, and any applicable app or software terms made available by EV4 LLC. <\/p>\n\n\n\n

4. Business Customers Only <\/p>\n\n\n\n

These Terms of Sale apply exclusively to business customers, including but not limited to: <\/p>\n\n\n\n

Resellers <\/p>\n\n\n\n

Distributors <\/p>\n\n\n\n

Systems Integrators <\/p>\n\n\n\n

Managed Service Providers (MSPs) <\/p>\n\n\n\n

OEM Partners <\/p>\n\n\n\n

Commercial End Users <\/p>\n\n\n\n

Government and Educational Organizations, where permitted <\/p>\n\n\n\n

By placing an Order, Customer represents and warrants that it is purchasing Goods for business or commercial purposes and not for personal, family, or household use. <\/p>\n\n\n\n

These Terms constitute the entire agreement between the parties regarding the sale of Goods unless superseded by a separate written agreement executed by EV4 LLC. <\/p>\n\n\n\n

4.1 Resellers and Channel Partners <\/p>\n\n\n\n

Unless otherwise agreed in a separate written Reseller, Distributor, OEM, Partner, or Channel Agreement executed by EV4 LLC, all purchases by resellers, distributors, channel partners, and other intermediaries shall be governed by these Terms of Sale. <\/p>\n\n\n\n

Resellers and channel partners are solely responsible for: <\/p>\n\n\n\n

Compliance with all applicable laws and regulations in the territories where they sell or distribute the Goods; <\/p>\n\n\n\n

Providing customer support and first-line technical support to their customers where applicable; <\/p>\n\n\n\n

Ensuring that all marketing, advertising, and product representations are accurate and authorized by EV4 LLC; <\/p>\n\n\n\n

Collecting and remitting any applicable taxes for downstream sales where required by law; <\/p>\n\n\n\n

Ensuring that their customers understand any applicable requirements relating to CMS selection, CMS subscriptions, app installation, device provisioning, network configuration, and use of the DSD Selector App. <\/p>\n\n\n\n

Resellers, distributors, and channel partners may not: <\/p>\n\n\n\n

Modify, alter, reverse engineer, or rebrand EV4 LLC products or Associated Software without prior written authorization; <\/p>\n\n\n\n

Make warranties, guarantees, or representations on behalf of EV4 LLC beyond those expressly provided in EV4 LLC documentation; <\/p>\n\n\n\n

Use EV4 LLC trademarks, logos, or branding except as authorized; <\/p>\n\n\n\n

Represent that any Third-Party CMS Provider is endorsed, guaranteed, supported, or certified by EV4 LLC unless expressly authorized in writing. <\/p>\n\n\n\n

EV4 LLC reserves the right to suspend or terminate sales to any reseller, distributor, or channel partner that violates these Terms or any applicable partner agreement. <\/p>\n\n\n\n

Where a separate written Reseller, Distributor, OEM, or Partner Agreement exists between EV4 LLC and the purchasing party, the terms of that agreement shall prevail in the event of any conflict with these Terms of Sale. <\/p>\n\n\n\n

5. United States Sales Only <\/p>\n\n\n\n

These Terms of Sale apply only to purchases made through the DSDevices\u00ae United States website and fulfilled by EV4 LLC. <\/p>\n\n\n\n

Customers located outside the United States may be served by EV4 Limited through the DSDevices\u00ae United Kingdom website and shall be subject to the applicable terms and policies of that entity. <\/p>\n\n\n\n

International orders may be subject to separate terms and conditions, pricing, taxes, shipping arrangements, and policies provided by the applicable DSDevices\u00ae entity responsible for the sale. <\/p>\n\n\n\n

EV4 LLC reserves the right to decline, redirect, or cancel orders that cannot be fulfilled within the United States or that are more appropriately serviced through another DSDevices\u00ae sales channel. <\/p>\n\n\n\n

Availability of the DSD Selector App, CMS providers, app features, provisioning functionality, support options, and related services may vary by territory, device model, firmware version, app version, CMS provider availability, and sales channel. <\/p>\n\n\n\n

6. Goods, Pricing and Availability <\/p>\n\n\n\n

6.1 Product Information <\/p>\n\n\n\n

Product images, specifications, descriptions, technical information, compatibility information, CMS information, firmware information, DSD Selector App information, and related materials are provided for informational purposes only and may vary from actual Goods or available functionality. <\/p>\n\n\n\n

EV4 LLC may update, modify, correct, replace, or withdraw product information, CMS information, compatibility information, app information, technical documentation, and related materials at any time without notice. <\/p>\n\n\n\n

Customer is responsible for confirming that the Goods, Associated Software, DSD Selector App functionality, selected CMS provider, and deployment environment are suitable for Customer\u2019s intended use before placing an Order. <\/p>\n\n\n\n

6.2 Availability <\/p>\n\n\n\n

Product availability is not guaranteed and may be subject to backorder or discontinuation. <\/p>\n\n\n\n

Availability of the DSD Selector App, CMS selection functionality, app installation options, provisioning features, diagnostics, firmware features, compatibility information, and Third-Party CMS Providers is not guaranteed and may change at any time. <\/p>\n\n\n\n

6.3 Pricing <\/p>\n\n\n\n

Prices are subject to change without notice until an Order is accepted. <\/p>\n\n\n\n

Prices for Goods do not include any third-party CMS fees, subscriptions, licenses, service charges, hosting fees, support fees, or other charges imposed by Third-Party CMS Providers unless expressly stated in writing by EV4 LLC. <\/p>\n\n\n\n

6.4 Pricing Errors <\/p>\n\n\n\n

EV4 LLC reserves the right to correct pricing errors and may cancel or modify affected Orders. <\/p>\n\n\n\n

6.5 Taxes <\/p>\n\n\n\n

Prices displayed on the Site are exclusive of applicable sales taxes, use taxes, duties, tariffs, and similar governmental charges unless expressly stated otherwise. <\/p>\n\n\n\n

Customer is responsible for all applicable taxes associated with the purchase, delivery, importation, use, or resale of the Goods, excluding taxes based on EV4 LLC’s income. <\/p>\n\n\n\n

Customer is also responsible for any taxes, fees, or charges associated with third-party CMS subscriptions, applications, services, or software obtained from Third-Party CMS Providers. <\/p>\n\n\n\n

6.6 Shipping Charges <\/p>\n\n\n\n

Shipping charges are calculated separately and displayed during checkout. <\/p>\n\n\n\n

6.7 DSD Selector App and Associated Software <\/p>\n\n\n\n

DSDevices\u00ae hardware may be supplied with, pre-installed with, or made available for use with the DSD Selector App and other Associated Software. <\/p>\n\n\n\n

The DSD Selector App is provided as a deployment and configuration tool designed to assist customers with CMS selection, app installation, device setup, provisioning, configuration, diagnostics, and related support functionality. <\/p>\n\n\n\n

The DSD Selector App is licensed or made available for use and is not sold. No ownership rights in the DSD Selector App, Associated Software, firmware, documentation, code, interfaces, workflows, diagnostics, configuration tools, or related intellectual property are transferred to Customer. <\/p>\n\n\n\n

The availability, functionality, performance, compatibility, and support of the DSD Selector App may vary depending on device model, firmware version, app version, region, network environment, customer configuration, CMS provider availability, CMS partner approval, and third-party service availability. <\/p>\n\n\n\n

EV4 LLC may update, modify, suspend, discontinue, replace, or remove all or part of the DSD Selector App, Associated Software, CMS selection functionality, compatibility information, diagnostic tools, or related features at any time. <\/p>\n\n\n\n

The DSD Selector App does not guarantee that any particular Third-Party CMS Provider, CMS platform, application, service, subscription, or integration will be available, compatible, approved, supported, error-free, or suitable for Customer\u2019s intended use. <\/p>\n\n\n\n

Customer is responsible for: <\/p>\n\n\n\n

Selecting a suitable CMS provider; <\/p>\n\n\n\n

Obtaining any required CMS accounts, licenses, subscriptions, permissions, or services; <\/p>\n\n\n\n

Maintaining network access, internet connectivity, security settings, and customer-side configuration; <\/p>\n\n\n\n

Confirming compatibility between the Goods, firmware, DSD Selector App, selected CMS provider, network environment, and intended deployment; <\/p>\n\n\n\n

Complying with all third-party CMS terms, privacy policies, license agreements, subscription requirements, and applicable laws. <\/p>\n\n\n\n

Unless expressly stated otherwise in writing, EV4 LLC is not responsible for the operation, availability, performance, security, support, content, updates, fees, subscriptions, data practices, legal compliance, or service levels of any Third-Party CMS Provider. <\/p>\n\n\n\n

7. Orders and Contract Formation <\/p>\n\n\n\n

Submission of an Order constitutes an offer to purchase Goods. <\/p>\n\n\n\n

An Order is not accepted until EV4 LLC issues an Order Confirmation. <\/p>\n\n\n\n

EV4 LLC reserves the right to reject any Order for any reason. <\/p>\n\n\n\n

Any references to the DSD Selector App, CMS compatibility, CMS availability, app functionality, or Associated Software in product information, marketing materials, documentation, or communications do not form part of the Contract unless expressly included in the Order Confirmation or a separate written agreement executed by EV4 LLC. <\/p>\n\n\n\n

8. Payment <\/p>\n\n\n\n

Payment is due in full before shipment unless alternative payment terms have been approved in writing. <\/p>\n\n\n\n

Accepted payment methods may include: <\/p>\n\n\n\n

Revolut Pay <\/p>\n\n\n\n

Google Pay <\/p>\n\n\n\n

Apple Pay <\/p>\n\n\n\n

Bank Transfer <\/p>\n\n\n\n

Customer shall pay all amounts without set-off, deduction, or withholding except as required by law. <\/p>\n\n\n\n

Customer is responsible for any separate charges, fees, subscriptions, licenses, or payment obligations payable to Third-Party CMS Providers or other third-party service providers. <\/p>\n\n\n\n

9. Delivery, Risk and Ownership <\/p>\n\n\n\n

9.1 Delivery <\/p>\n\n\n\n

Delivery dates are estimates only and are not guaranteed. <\/p>\n\n\n\n

EV4 LLC shall not be liable for delays caused by carriers, customs authorities, supply chain interruptions, or events beyond its reasonable control. <\/p>\n\n\n\n

9.2 Shipping Insurance <\/p>\n\n\n\n

Shipping insurance is not included unless specifically requested and purchased. <\/p>\n\n\n\n

9.3 Title <\/p>\n\n\n\n

Title to the physical Goods shall pass to Customer only upon EV4 LLC’s receipt of full payment of all amounts due. <\/p>\n\n\n\n

No title, ownership, or intellectual property rights in the DSD Selector App, Associated Software, firmware, documentation, trademarks, content, code, interfaces, configuration tools, diagnostics, or related materials pass to Customer. <\/p>\n\n\n\n

9.4 Risk of Loss <\/p>\n\n\n\n

Risk of loss and damage shall pass to Customer upon delivery of the Goods to the carrier or as otherwise specified under the applicable Incoterms agreed between the parties. <\/p>\n\n\n\n

Risk of loss or damage to the physical Goods passing to Customer does not transfer ownership of any Associated Software or intellectual property rights. <\/p>\n\n\n\n

10. Limited Warranty; Exclusive Remedy <\/p>\n\n\n\n

10.1 Limited Warranty <\/p>\n\n\n\n

EV4 LLC warrants that the Goods shall, for a period of one (1) year from the date of shipment, be substantially free from defects in materials and workmanship under normal use and service. <\/p>\n\n\n\n

This limited warranty applies to qualifying defects in the physical Goods. It does not guarantee uninterrupted or error-free operation of the DSD Selector App, Associated Software, firmware, third-party applications, Third-Party CMS Providers, network services, or customer deployment environments. <\/p>\n\n\n\n

10.2 Exclusive Remedy <\/p>\n\n\n\n

Customer’s sole and exclusive remedy, and EV4 LLC’s sole obligation, for any breach of warranty shall be, at EV4 LLC’s option: <\/p>\n\n\n\n

Repair of the defective Goods; <\/p>\n\n\n\n

Replacement of the defective Goods; or <\/p>\n\n\n\n

Refund of the purchase price paid for the defective Goods. <\/p>\n\n\n\n

EV4 LLC may require Customer to provide reasonable diagnostic information, serial numbers, device information, firmware version, app version, DSD Selector App information, configuration details, or other support information to assess a warranty claim. <\/p>\n\n\n\n

10.3 Warranty Exclusions <\/p>\n\n\n\n

The warranty does not apply to Goods that have: <\/p>\n\n\n\n

Been modified, altered, repaired, or serviced by unauthorized persons; <\/p>\n\n\n\n

Been improperly installed, handled, maintained, configured, deployed, or stored; <\/p>\n\n\n\n

Been subjected to misuse, abuse, negligence, accident, or abnormal operating conditions; <\/p>\n\n\n\n

Had warranty labels, serial numbers, or identification markings removed, altered, or damaged; <\/p>\n\n\n\n

Been used with unsupported, unauthorized, malicious, incompatible, or improperly configured software, firmware, applications, CMS platforms, accessories, networks, power supplies, or third-party services; <\/p>\n\n\n\n

Been affected by customer network issues, internet connectivity issues, firewall settings, security restrictions, CMS account issues, CMS subscription issues, third-party service interruptions, or customer-side configuration errors; <\/p>\n\n\n\n

Been affected by failure to install required updates, firmware updates, app updates, security updates, or configuration changes reasonably required for continued operation, compatibility, or support. <\/p>\n\n\n\n

The warranty does not apply to, and EV4 LLC is not responsible for: <\/p>\n\n\n\n

Third-party CMS platforms, applications, services, subscriptions, integrations, accounts, support arrangements, or content; <\/p>\n\n\n\n

Failures, defects, errors, downtime, incompatibility, data loss, or performance issues caused by Third-Party CMS Providers or other third-party software or services; <\/p>\n\n\n\n

Customer-created content, CMS content, playlists, media, schedules, configurations, network settings, credentials, or deployment settings; <\/p>\n\n\n\n

Issues caused by misuse of the DSD Selector App, incorrect CMS selection, incorrect provisioning, unsupported configuration, unauthorized app installation, or customer-side deployment decisions. <\/p>\n\n\n\n

10.4 Disclaimer of Other Warranties <\/p>\n\n\n\n

EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THIS SECTION, THE GOODS, ASSOCIATED SOFTWARE, DSD SELECTOR APP, FIRMWARE, DOCUMENTATION, CMS INFORMATION, COMPATIBILITY INFORMATION, DIAGNOSTICS, AND RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” <\/p>\n\n\n\n

EV4 LLC DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, COMPATIBILITY, PERFORMANCE, SECURITY, AVAILABILITY, ACCURACY, OR ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE, TO THE MAXIMUM EXTENT PERMITTED BY LAW. <\/p>\n\n\n\n

EV4 LLC DOES NOT WARRANT THAT THE DSD SELECTOR APP WILL SELECT, INSTALL, CONFIGURE, PROVISION, ACTIVATE, SUPPORT, OR MAINTAIN ANY CMS PLATFORM SUCCESSFULLY IN ALL CASES. <\/p>\n\n\n\n

EV4 LLC DOES NOT WARRANT THAT ANY THIRD-PARTY CMS PLATFORM WILL BE AVAILABLE, COMPATIBLE, SECURE, SUITABLE, SUPPORTED, APPROVED, ERROR-FREE, OR FREE OF SERVICE INTERRUPTIONS. <\/p>\n\n\n\n

11. Limitation of Liability <\/p>\n\n\n\n

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: <\/p>\n\n\n\n

(a) EV4 LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; <\/p>\n\n\n\n

(b) EV4 LLC SHALL NOT BE LIABLE FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, CONTENT, MEDIA, CONFIGURATIONS, CREDENTIALS, OR BUSINESS INTERRUPTION; <\/p>\n\n\n\n

(c) EV4 LLC SHALL NOT BE LIABLE FOR COSTS OF REMOVAL, INSTALLATION, REPLACEMENT, RECONFIGURATION, REPROVISIONING, CMS MIGRATION, NETWORK CONFIGURATION, OR DOWNTIME; <\/p>\n\n\n\n

(d) EV4 LLC SHALL NOT BE LIABLE FOR THIRD-PARTY CMS FAILURES, CMS UNAVAILABILITY, CMS SUBSCRIPTION ISSUES, THIRD-PARTY SERVICE INTERRUPTIONS, CUSTOMER CONFIGURATION ERRORS, NETWORK ISSUES, UNSUPPORTED SOFTWARE, OR UNAUTHORIZED APPLICATIONS; <\/p>\n\n\n\n

(e) EV4 LLC SHALL NOT BE LIABLE FOR ANY FAILURE OF THE DSD SELECTOR APP TO SELECT, INSTALL, CONFIGURE, PROVISION, ACTIVATE, SUPPORT, OR MAINTAIN ANY PARTICULAR CMS PLATFORM OR DEPLOYMENT CONFIGURATION; <\/p>\n\n\n\n

(f) EV4 LLC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE GOODS, ASSOCIATED SOFTWARE, DSD SELECTOR APP, THESE TERMS OF SALE, OR ANY RELATED TRANSACTION SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SPECIFIC GOODS GIVING RISE TO THE CLAIM. <\/p>\n\n\n\n

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF EV4 LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. <\/p>\n\n\n\n

Nothing in these Terms excludes liability that cannot be excluded under applicable law. <\/p>\n\n\n\n

12. Export Compliance <\/p>\n\n\n\n

Customer agrees to comply with all applicable United States export control, sanctions, and trade laws and regulations. <\/p>\n\n\n\n

Customer shall not directly or indirectly export, re-export, transfer, or provide any Goods, Associated Software, firmware, documentation, technical information, or related materials supplied by EV4 LLC in violation of applicable export control laws, regulations, or sanctions administered by the United States Government. <\/p>\n\n\n\n

Customer is solely responsible for obtaining any required import, export, or re-export authorizations. <\/p>\n\n\n\n

Customer shall not use the Goods, DSD Selector App, Associated Software, or related technical materials in connection with any prohibited end use, restricted party, sanctioned territory, or unlawful activity. <\/p>\n\n\n\n

13. Intellectual Property and Trademarks <\/p>\n\n\n\n

DSDevices\u00ae is a registered trademark of EV4 Limited and is used by EV4 LLC under license and authorization. <\/p>\n\n\n\n

All trademarks, service marks, trade names, logos, product names, software, firmware, documentation, designs, content, DSD Selector App materials, CMS selection workflows, diagnostics, configuration tools, interfaces, and other intellectual property associated with DSDevices\u00ae and the Goods are owned by EV4 Limited, EV4 LLC, or their respective licensors, as applicable. <\/p>\n\n\n\n

Nothing in these Terms of Sale grants Customer any ownership interest in any intellectual property rights associated with DSDevices\u00ae, the Goods, the DSD Selector App, Associated Software, firmware, documentation, or related materials, except for the limited right to use and resell the Goods in accordance with these Terms and any applicable reseller, distributor, OEM, or partner agreement. <\/p>\n\n\n\n

Subject to Customer\u2019s compliance with these Terms, EV4 LLC grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the DSD Selector App and Associated Software solely for lawful internal business purposes and solely in connection with DSDevices\u00ae hardware. <\/p>\n\n\n\n

Resellers, distributors, channel partners, and customers may not: <\/p>\n\n\n\n

Modify, alter, obscure, remove, or replace any DSDevices\u00ae trademarks, labels, serial numbers, or branding; <\/p>\n\n\n\n

Use DSDevices\u00ae trademarks, logos, or marketing materials except as authorized; <\/p>\n\n\n\n

Register or attempt to register any trademark, domain name, company name, social media account, or other identifier that is confusingly similar to DSDevices\u00ae; <\/p>\n\n\n\n

Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source code of the DSD Selector App, Associated Software, firmware, or related software except to the extent such restriction is prohibited by applicable law; <\/p>\n\n\n\n

Circumvent, disable, interfere with, or misuse any licensing, provisioning, activation, app installation, CMS selection, diagnostic, device management, or security feature; <\/p>\n\n\n\n

Use the DSD Selector App, Associated Software, firmware, documentation, or technical materials to develop a competing product, service, application, CMS selection tool, provisioning system, device management platform, or similar technology. <\/p>\n\n\n\n

All goodwill arising from the use of DSDevices\u00ae trademarks shall inure exclusively to the benefit of EV4 Limited. <\/p>\n\n\n\n

14. Force Majeure <\/p>\n\n\n\n

EV4 LLC shall not be liable for delays or failures caused by events beyond its reasonable control, including: <\/p>\n\n\n\n

Natural disasters <\/p>\n\n\n\n

War <\/p>\n\n\n\n

Terrorism <\/p>\n\n\n\n

Government actions <\/p>\n\n\n\n

Supply shortages <\/p>\n\n\n\n

Telecommunications failures <\/p>\n\n\n\n

Internet outages <\/p>\n\n\n\n

Cloud service interruptions <\/p>\n\n\n\n

Third-party CMS outages <\/p>\n\n\n\n

Software distribution platform outages <\/p>\n\n\n\n

Cybersecurity incidents not caused by EV4 LLC\u2019s willful misconduct <\/p>\n\n\n\n

16. Privacy <\/p>\n\n\n\n

Personal information is processed in accordance with the Privacy Policy and Cookie Policy available on the Site. <\/p>\n\n\n\n

Use of the DSD Selector App may involve the processing of device-related, diagnostic, provisioning, configuration, support, app usage, and CMS selection information as described in the Privacy Policy. <\/p>\n\n\n\n

Where Customer selects, connects to, or uses a Third-Party CMS Provider, that provider may process information under its own privacy policy, terms, subscription agreement, and data practices. <\/p>\n\n\n\n

Customer is responsible for ensuring that it has all necessary rights, notices, permissions, and lawful bases required for any personal information, device information, employee information, customer information, content, media, or configuration data that Customer submits, uploads, processes, or makes available through the Goods, DSD Selector App, CMS platforms, or related services. <\/p>\n\n\n\n

17. General Terms <\/p>\n\n\n\n

EV4 LLC may assign its rights and obligations under these Terms. <\/p>\n\n\n\n

Customer may not assign its rights without written consent. <\/p>\n\n\n\n

If any provision is unenforceable, the remainder shall remain in effect. <\/p>\n\n\n\n

No waiver shall constitute a continuing waiver. <\/p>\n\n\n\n

Where Customer is party to a separate Reseller Agreement, Distributor Agreement, OEM Agreement, Partner Agreement, software agreement, app agreement, or other commercial agreement with EV4 LLC, that agreement shall govern to the extent of any inconsistency with these Terms. <\/p>\n\n\n\n

Nothing in these Terms requires EV4 LLC to continue making available any particular version, feature, integration, CMS selection option, configuration tool, diagnostic tool, or support feature of the DSD Selector App or Associated Software. <\/p>\n\n\n\n

These Terms do not create any obligation for EV4 LLC to provide support, maintenance, updates, upgrades, custom integrations, CMS certification, CMS migration, or configuration services unless expressly agreed in writing. <\/p>\n\n\n\n

18. Governing Law and Jurisdiction <\/p>\n\n\n\n

These Terms shall be governed by the laws of the State of Delaware. <\/p>\n\n\n\n

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. <\/p>\n\n\n\n

The state and federal courts located in Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Goods, Associated Software, the DSD Selector App, or any related transaction, and each party irrevocably submits to the jurisdiction of those courts. <\/p>\n\n\n\n

Before publishing, I would have the US lawyer check the Associated Software licensing wording<\/strong>, the warranty exclusions<\/strong>, and the third-party CMS responsibility language<\/strong>, because those are the sections most likely to matter if a customer later claims the hardware is faulty due to app setup, CMS compatibility, provisioning, or network configuration issues. <\/p>\n\n\n\n

1. Definitions<\/strong> <\/p>\n\n\n\n

“Contract” means a contract for the purchase and sale of Goods. <\/p>\n\n\n\n

“Goods” means the products sold by EV4 LLC through the Site. <\/p>\n\n\n\n

“Order” means a customer’s order for Goods. <\/p>\n\n\n\n

“Order Confirmation” means EV4 LLC’s acceptance of an Order. <\/p>\n\n\n\n

“Order Number” means the reference number assigned to an Order. <\/p>\n\n\n\n

“Customer” means the business entity purchasing Goods from EV4 LLC. <\/p>\n\n\n\n
